Terms of Service

These Terms of Service ("terms") are an agreement between you and TenKeyLabs LLC("VClarity", "we", "us"). They cover the VClarity Player app for Android and iPhone (the "app"), the website vclarity.tv, including the Publisher Portal and the VCP documentation (the "site"), and the VC Service gateway that connects the app to video publishers. Together we call these the "Services". By using the Services you agree to these terms and to ourPrivacy Policy. If you do not agree, do not use the Services.

What VClarity is

VClarity is a video player. It plays video files on your device, video links you enter, and catalogs from independent video services ("publishers") that support the VClarity Protocol (VCP). VClarity does not host, own or control publishers' videos. It gives you a way to browse and play what a publisher chooses to offer. The app is free.

Who can use the Services

You must be at least 13 years old, or the minimum age required in your country if that is higher. If you are under the age of majority where you live, you may create an account only with the permission of a parent or legal guardian who agrees to these terms for you.

Your account

• An account is optional for the app and required for the Publisher Portal. Give accurate information when you create one.
• Keep your password to yourself. You are responsible for what happens under your account, and you should tell us promptly atadmin@vclarity.tv if you think someone else has used it.
• You can delete your account at any time fromvclarity.tv/account. Deletion is permanent and also removes any publisher registrations you own.

Publisher content and links you play

Publishers are independent of VClarity. Each publisher is solely responsible for the videos, artwork, descriptions and other material it makes available, and for its own terms and privacy practices. Listing a publisher in our registry is not an endorsement, and we do not review publishers' catalogs. The same applies to any video link you choose to play. You are responsible for making sure you are allowed to watch what you play, and for following the publisher's terms.

A publisher can change or remove its content, restrict it by region, or stop supporting VCP at any time. We can remove a publisher from the registry at any time. When either happens, catalogs you imported may stop playing.

Your files

Videos on your device and files you open in the app stay yours and stay on your device. You are responsible for having the right to play them. We do not claim any rights in them.

Additional terms for publishers

If you register a service in the Publisher Portal, you also agree that:

• you own or control the domain you register and have the authority to connect it to VClarity;
• you have all the rights needed to offer every video, image and piece of text your service provides, and your content and service comply with the law;
• your service will not distribute malware, content that infringes anyone's rights, or content that is illegal where it is offered;
• you will keep your service credential confidential, reject requests without it, and rotate it if it may have been exposed;
• you will handle the information the gateway forwards to you, including users' IP addresses and search terms, lawfully and only to operate your service;
• you grant us a worldwide, royalty-free license to store, display and transmit your service's manifest (its name, description and icon) and to relay your API's responses to app users, only as needed to operate the Services;
• we may suspend or remove your registration at any time, including after a complaint about your content, a failed verification check, or a breach of these terms.

Acceptable use

You agree not to:

• use the Services to break the law or infringe anyone's rights;
• interfere with or overload the Services, or probe, scan or test their security without our written permission;
• use the gateway other than through the app, or to reach services other than registered publishers;
• access the Services by automated means beyond what the VCP documentation describes, or circumvent any limit or protection we apply;
• copy, modify, reverse engineer or resell the app except as the law expressly allows;
• impersonate anyone or misrepresent your connection to a person, site or service.

Copyright complaints

We do not host publishers' videos, but we will act on credible complaints about publishers in our registry. If you believe a publisher reachable through VClarity infringes your copyright, email admin@vclarity.tv with:

1. your name and contact details, and your signature (typing your full name is enough);
2. the work you believe is infringed;
3. the publisher's web address and where in its catalog the material appears;
4. a statement that you believe in good faith that the use is not authorized by the copyright owner, its agent or the law;
5. a statement, under penalty of perjury, that your notice is accurate and that you are the owner or are authorized to act for the owner.

We may remove a publisher from the registry, notify it, or both. We remove publishers that repeatedly infringe.

Our intellectual property

The app, the site and the VClarity name and logo belong to TenKeyLabs LLC and are protected by law. We grant you a personal, non-exclusive, non-transferable, revocable license to use the app for its intended purpose. You may use the VCP documentation to build and operate a service or client that is compatible with VCP. These terms do not give you any right to use our name or logo.

If you send us feedback or suggestions, we may use them without any obligation to you.

App stores

If you downloaded the app from Google Play or the Apple App Store, that store's terms also apply to your download. These terms are between you and TenKeyLabs LLC only; the store is not responsible for the app or its support. For the Apple App Store version, Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

Changes to the Services

We may change, suspend or stop any part of the Services at any time, including features, supported formats and the publisher registry. We try to give notice of significant changes but are not required to keep any feature available.

Ending these terms

You can stop using the Services at any time, and delete your account whenever you like. We may suspend or end your access if you break these terms, if we must do so by law, or to protect users, publishers or the Services. The sections on publisher content, intellectual property, disclaimers, limitation of liability, indemnity and governing law continue to apply after these terms end.

Disclaimers

The Services are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the Services will be uninterrupted, secure or error-free. We make no promises about publishers, their content, or the availability of any video.

Limitation of liability

To the fullest extent the law allows, TenKeyLabs LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from or related to the Services or publisher content. Our total liability for any claim relating to the Services is limited to the greater of the amount you paid us for the Services in the 12 months before the claim or US $50. Some places do not allow these limitations, so they may not all apply to you.

Indemnity

If you use the Services in breach of these terms or the law, or register a publisher service, you agree to defend and indemnify TenKeyLabs LLC against claims, losses and costs (including reasonable legal fees) that arise from that use or from your service's content.

Governing law

These terms are governed by the laws of the United States and of the state in whichTenKeyLabs LLC is organized, without regard to conflict-of-law rules. If you are a consumer, you keep any protections the law of your country gives you that cannot be waived by contract.

Changes to these terms

When we change these terms, we update the date at the top. If a change is material, we will announce it on the site or in the app before it takes effect. Continuing to use the Services after that means you accept the new terms.

General

If any part of these terms cannot be enforced, the rest still applies. Our not enforcing a term is not a waiver of it. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. These terms and the Privacy Policy are the entire agreement between you and us about the Services.
